The short version
Use TDE lawfully, keep control of your accounts and review agent actions before they affect your systems. Your code remains yours; paid services renew until you cancel.

Accepting these terms
By installing, accessing or using TDE, you agree to these Terms of Use and the Privacy Policy. If you use TDE for an organization, you confirm that you have authority to accept these terms for it.
If you do not agree, do not use the services. Some open-source components are also governed by their own licenses; those licenses continue to apply to those components.

What TDE provides
TDE is an agentic desktop for developers. It includes local software, developer tools, automation, agent workflows and optional online services such as TDE Pass, Sync, Enterprise Org Brain, Machines, Sandboxes, Store and Web Share.
Features may differ by operating system, plan, region or release channel. The local TDE desktop can be used without a paid subscription; optional services may require an account or active plan.

Accounts and security
Provide accurate account information and keep your login methods, recovery channels, API keys and device access secure. You are responsible for activity performed through your account unless you promptly report unauthorized access.
Do not share an account in a way that bypasses plan or security limits. Tell Support promptly if you believe an account, machine, token or connector has been compromised.

Your code and data remain yours
You retain ownership of source code, prompts, documents, credentials and other content you provide to TDE. You grant TDE only the limited permission needed to process that content when you request an optional service.
TDE is local-first, but connected features may send the information needed to the provider you choose. You are responsible for having the rights and permissions required to use, synchronize or process that content.

Sharing knowledge with an Organization
An Organization owner controls membership, and each developer chooses which local projects to bind to an Organization. By binding a project or publishing a consolidation, you confirm that you are authorized to share that work with the Organization and its active members.
Organization members may use shared consolidations only as authorized by their organization. Removing a member or suspending the plan stops future hosted access, but copies already synchronized to member-controlled devices may remain. The Organization is responsible for its internal access, retention and offboarding policies.
TDE Enterprise is billed per Organization. Each member needs their own Sync-enabled TDE license, purchased standalone or included with an eligible TDE Pass plan, unless checkout states otherwise.

Agents require human judgment
Agent and model outputs can be incomplete, incorrect or unsafe. Review code, commands, migrations, messages and other consequential actions before approval or execution. Human gates reduce risk but do not replace your judgment.
You decide which agents, models, tools, permissions and automation levels to enable. You remain responsible for actions authorized through your account and for testing outputs before they reach production or third parties.

Connected and third-party services
Connectors, model providers, repositories, email, chat, payments and other third-party services are governed by their own terms and privacy practices. TDE is not responsible for a third party changing, suspending or ending its service.
You authorize TDE to exchange the data and credentials required to perform the actions you request. You can disconnect optional integrations, subject to any obligations you have directly with the third party.

Plans, renewals and cancellation
Paid plans are recurring subscriptions unless checkout states otherwise. The amount, currency, taxes, included usage and billing interval shown at checkout control your purchase. Subscriptions renew automatically until canceled.
You can cancel through your TDE account or the Stripe billing portal. Access normally continues through the paid billing period. Refunds and statutory cancellation rights are handled according to the checkout terms and applicable law. TDE Pass is subject to the fair-use limits disclosed for your plan.

Use TDE responsibly
Do not use TDE to break the law, violate rights, access systems without authorization, distribute malware, abuse infrastructure, evade usage or security limits, or interfere with other users and services.
- Do not use credentials, data or compute you are not authorized to use.
- Do not use automation to spam, deceive, harass or cause unlawful harm.
- Do not probe, disrupt or bypass security, billing, rate limits or isolation controls.
- Do not use TDE to infringe intellectual property or privacy rights.

Software changes, and sometimes breaks
TDE is evolving and may include beta, preview or experimental features. We may add, change, suspend or remove functionality to improve the product, protect users or comply with legal and technical requirements.
We aim for reliable services but do not promise uninterrupted or error-free operation. Maintain your own source control, backups and recovery practices, especially before running agents or changes against important systems.

TDE, its brand and open-source software
Your rights to open-source portions of TDE are defined by the licenses distributed with that code. These terms do not restrict rights those licenses grant.
The TDE name, logos, website, hosted services, visual identity and non-open-source materials remain protected by applicable intellectual-property laws. Do not imply sponsorship or use TDE branding in a misleading way.

Suspension and termination
You may stop using TDE and cancel paid services at any time. We may limit or suspend access when reasonably necessary to address security, abuse, non-payment, legal requirements or a material breach of these terms.
When practical, we will provide notice and an opportunity to resolve the issue. Terms that by their nature should survive termination—including ownership, payment obligations, disclaimers and liability limits—continue to apply.

Reasonable limits on responsibility
To the extent permitted by law, TDE is provided “as is” and “as available,” without warranties that outputs will be accurate, systems will be uninterrupted or the service will fit every use case.
To the extent permitted by law, TDE is not liable for indirect, incidental, special or consequential losses, lost profits, lost data or damage caused by unreviewed agent actions or third-party services. Nothing here excludes liability or consumer rights that applicable law does not allow us to exclude.

Changes, applicable law and contact
We may update these terms as the platform develops. Material changes will be communicated through the website, product or account email and will apply from the stated effective date. Continuing to use TDE after that date means you accept the updated terms.
Applicable law governs these terms without overriding mandatory consumer protections. Before starting a formal dispute, contact Support so we can try to resolve the issue directly.
